TXT e-Solutions S.p.A. entered into a binding agreement to acquire an initial 88% stake in FMA Investment Holding S.r.l. from Marco Quaranta, Andrea Giovannetti and Fabrizio Landeschi for a consideration based on a pro-rata Enterprise Value of approximately €6.5 million on September 16, 2026. The consideration will be settled 75% in cash and 25% through TXT e-Solutions S.p.A. shares. The agreement includes a Call Option for TXT e-Solutions S.p.A. to acquire the remaining 12% stake, exercisable on the date of approval of FMA Investment Holding's 2028 financial statements. The exercise price will be based on a multiple of 5x the average EBITDA for the years 2026, 2027, and 2028. The net financial position, estimated to be a positive net cash position of more than €2 million at closing, will be settled entirely in cash.
In 2025, FMA Investment Holding S.r.l. generated revenues of €6.7 million and an Adjusted EBITDA of approximately €1.5 million. The transaction implies a multiple of approximately 5x the target's Adjusted EBITDA. The founding shareholders and current management will continue to lead the development of the business post-acquisition.
The transaction is subject to the completion of a corporate reorganization involving the merger of FMA Investment Holding's operating companies (PipeGrep S.r.l., B2B S.r.l., and Flag S.r.l.) into a single corporate vehicle. The transaction is expected to close by the end of 2026.

Sopra Steria partnered with German software vendor VMRay, a European reference in advanced malware and phishing analysis. The technology is already running in the Group’s security operations centres in France and Norway, where it processes close to 1,000 suspicious file analyses every month for clients including a major French industrial group. Sopra Steria has spent years building a European cyber ecosystem.
